Programmer - Mumbai

Development in Java technology, ORACLE Operations on Database, Application Implementation, Application Deployment and QA support.

EXPERIENCE:-

  • 2-6 years of experience in Java with Spring Framework

KEY ACCOUNTABILITIES:

  • Development in Java technology ( Spring framework, spring boot, Angular)
  • Development in Web Service Development (API, Micro Services)
  • Desired knowledge of AWS services
  • Database query understanding/writing , Working knowledge on Database ( Oracle)

Secretarial & Legal - Mumbai

Position: Manager / Senior Manager

Qualification:

  • A Member of the Institute of Company Secretaries of India
  • Bachelor’s Degree in Law from reputed institutes (Preferred)

Experience: 7-10 Years (6 years of experience post CS qualified or 2-3 years as a designated CS, preferably in a regulated entity)

Skills and Knowledge :

  • Develop systems to monitor key compliance parameters and implement effective internal controls.
  • Ensure adherence to all compliance requirements and maintain/update related records on website.
  • Identify critical compliance areas for close monitoring of business processes.
  • Prepare MIS, reports and analysis for the CEO, senior management and WDRA for effective compliance management.
  • Knowledge of repository ecosystem and operations will be an added advantage.
  • Lead and manage a team of professionals.

Key Accountabilities:   

Secretarial:

  • Conduct Board/Committee/General Meetings; draft notices, agendas, resolutions, minutes; maintain statutory records.
  • File statutory forms/returns under the Companies Act, 2013 on the MCA portal.
  • Handle WDRA filings and approvals as required.
  • Advise Board and Senior Management on corporate compliance matters.
  • Ensure compliance with Companies Act, SEBI LODR and Secretarial Standards.
  • Manage all secretarial, CG, statutory and internal audits.
  • Good communication and drafting skills

Legal:

  • Draft, review, and vet agreements (including warehousing, service, vendor, and other commercial contracts).
  • Draft legal documents (POA, affidavits, shareholder, franchisee and restructuring agreements)
  • Guide the Board of Directors and Senior Management on legal processes
  • Ensure legal risks are identified and appropriate mitigation measures are in place
